Marketplace Sale Agreement

1. Parties and platform role

WhatsAppKanalı Marketplace (“Platform”) acts as an intermediary between buyer and seller. The Platform manages escrow (secure payment) for transfers of channels, groups, servers and similar digital communities, releasing funds to the seller after handover is complete.

The Platform does not guarantee ownership, accuracy, legal compliance or future revenue of transferred assets. Handover and content responsibility remain with the parties.

2. Escrow (secure payment) process

The buyer pays the agreed sale price into the Platform’s designated escrow account (bank transfer or crypto). After payment is confirmed, funds are held until handover is complete.

The seller transfers the community to the buyer under the listing terms. Payment is not released until the buyer confirms delivery.

After delivery confirmation, the Platform may review payment during the payout hold period; after that, the remaining amount minus commission is paid to the seller.

3. Seller obligations

The seller confirms listing details (member count, topic, revenue claims, screenshots) are accurate and up to date.

The seller is responsible for complete, irreversible handover, compliance with platform rules and not infringing third-party rights.

The seller must enter correct payout IBAN or crypto details; the Platform is not liable for losses from incorrect information.

Commission rate is set by the Platform; listings are not published until the seller accepts the commission offer. The seller may update sale price only, not commission rate.

4. Buyer rights and obligations

The buyer reviews listing description, proof images and seller notes before paying. Payment must go only to Platform escrow; direct payment to the seller is outside protection.

The buyer must not confirm delivery before handover is complete. Refund requests after confirmation are evaluated only under dispute conditions below.

5. Refunds, cancellation and disputes

Orders not yet paid into or confirmed in escrow may be cancelled by either party.

After payment is confirmed and handover begins, refunds are possible only for provable serious disputes (no handover, material mismatch with listing, access not granted, etc.) through Platform review.

If fake members, bot traffic, prohibited content or policy violations are detected, the Platform may block, refund or remove the listing.

In disputes, parties submit evidence via support channels; payment may remain blocked until the Platform’s final decision.

6. Warranty limits

The Platform offers escrow to reduce fraud risk but does not guarantee future growth, revenue, moderation quality or third-party policy changes of sold communities.

Suspension, bans or policy changes on WhatsApp, Telegram, Discord, YouTube and other services are buyer and seller risk.

Platform liability is limited to escrow amounts and process management; indirect damage, lost profit or moral compensation claims are not accepted.

7. Commission and pricing

Commission percentage per listing is set by the Platform and sent to the seller for approval. Listings are not published without seller acceptance.

Commission is deducted from the completed sale price. Listing is free; commission applies only on successful sale.

When accepting commission, the seller may update sale price; commission rate is fixed and cannot be changed by the seller.

8. Prohibited content and rejected listings

Illegal content, child abuse, hate speech, fraud, fake member/bot sales and communities violating platform rules cannot be listed.

The Platform reserves the right to reject, remove listings and suspend accounts.

9. Acceptance of terms

Submitting a listing, accepting a commission offer or starting an escrow order means you have read and accept the current version of these terms.

The Platform may update terms; the current text is published at /marketplace/sartlar (or /en/marketplace/terms). New listings accept the current version.
